Description including Unit Aims

  1. To enable students to acquire new and detailed knowledge of key company law principles and to engage in critical analysis and evaluation of these principles.
  2. To enable students to develop an awareness of the historical, economic, and social contexts in which these principles have evolved and are being applied in contemporary company law practice.
  3. To enable students to synthesise a range of legal doctrinal and company law policy issues in order to make a critical judgment about the merits of particular arguments.
  4. To foster a student’s ability to apply company law principles to given fact situations in a discerning manner.
  5. To develop students’ abilities of self-management, independent research, and the ability to communicate clearly and convincingly both orally and in writing.

The unit will be delivered via 9 themes, with one lecture and seminar per theme. The tenth lecture/seminar will focus on formative assessment feedback, skills development and personal development planning within the context of Advanced Company Law. The order in which the themes are delivered will not necessarily follow the order below.

  1. The development and modern practice of corporate groups
  2. Tortious liability of companies
  3. Transnational companies, tax havens and offshore finance
  4. Aspects of corporate management – appointment and removal of directors, authority, and directors’ disqualification
  5. The multi-national corporation outside its boundaries (to include outsourcing, global supply chains, and modern slavery)
  6. Companies and human rights (including attempts to regulate corporations by legal, quasi-legal, and extra-legal means)
  7. Share capital, capital maintenance and investor protection
  8. Worker participation on boards
  9. The future of companies and company law in a global economy
  10. 1 x feedback/skills seminar

Intended Learning Outcomes

By the end of this course, students will be able to:

  1. Critically analyse and evaluate company law principles.
  2. Appraise the historical, economic, and social contexts in which company law principles have evolved and are being applied in contemporary company law practice.
  3. Integrate knowledge of a range of legal doctrinal and company law policy issues in order to construct and critically appraise arguments.
  4. Employ company law principles to given fact situations in order to solve a problem in a discerning manner.
  5. Communicate clearly, both orally and in writing, in order to present arguments and ideas in a clear and convincing manner.

Reading and References

Students will be directed to a range of journal articles to complement the theme of the particular seminar. There is no one textbook that covers the range of topics proposed. Instead, materials will be drawn from a variety of sources.
