The unit will cover: foundations of commercial law; theoretical foundations; contractual interpretation; good faith; topics in the law of agency; personal property law; bailment; introduction to the sale of goods; problems in domestic sales I - passing of property and risk; problems in domestic sales II - remedies; international sale of goods - cif and fob contracts; financing of international trade.
By the end of this unit a successful student will be able to:
20 lectures and 7 two-hour seminars
2 formative assessments: 2 x 1,500 word coursework. Formative assessments do not count towards final mark and can be optional.
1 x summative assessment: 1 x 3 hour exam in the Summer Exam Period. Summative assessments do count towards final mark.
The assessments will assess all of the intended learning outcomes for this unit.
The core text for the unit is MA Clarke, RJA Hooley, et al, Commercial Law: Text, Cases and Materials (5th edn, OUP 2017) and is especially useful as a starting point for your seminar preparation. Ewan McKendrick (ed), Goode on Commercial Law (5th edn, Penguin 2017) may also be a useful resource for parts of the unit. Reading lists for seminars will be contained in the unit guide available to students taking the unit, and will contain a mix of primary sources (mostly case law) and secondary sources.
